1. Agreement to Terms
By accessing or using Codixes services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
2. Services Provided
Codixes provides digital marketing, web design, web development, SEO, CRM implementation, marketing automation, and related services ("Services"). Specific deliverables and timelines are outlined in individual project proposals and contracts.
3. Client Responsibilities
Clients agree to:
- Provide timely feedback and required materials
- Ensure content provided does not violate any copyrights or trademarks
- Pay invoices according to agreed payment terms
- Maintain access to necessary accounts and platforms
4. Payment Terms
Payment terms vary by project type:
- Project-based work: Typically 50% upfront, 50% upon completion
- Retainer services: Monthly billing, due at the beginning of each period
- Late payments may result in service suspension and interest charges
5. Intellectual Property
Upon full payment, clients own the final deliverables created specifically for their project. Codixes retains rights to:
- Reusable code, frameworks, and templates
- Display completed work in portfolio and marketing materials
- Methodologies and processes used in service delivery
6. Confidentiality
Both parties agree to keep confidential information private. This includes business strategies, customer data, proprietary processes, and any information marked as confidential.
7. Project Timelines
Timelines are estimates based on agreed scope. Delays may occur due to client feedback cycles, content provision, or scope changes. Codixes will communicate any timeline adjustments promptly.
8. Scope Changes
Requests beyond the agreed scope will be evaluated and may require additional fees and timeline adjustments. Major scope changes will be documented in writing before proceeding.
9. Warranties and Limitations
Codixes warrants that services will be performed professionally and with reasonable care. However, we do not guarantee specific business outcomes, rankings, or revenue results. Services are provided "as is" without warranty of any kind.
10. Limitation of Liability
Codixes' liability is limited to the amount paid by the client for the specific service in question. We are not liable for indirect, incidental, or consequential damages.
11. Termination
Either party may terminate services with 30 days written notice. Clients are responsible for payment of work completed through the termination date. Refunds are provided at Codixes' discretion.
12. Dispute Resolution
Disputes will be resolved through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
13. Modifications
Codixes reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of Services constitutes acceptance of modified Terms.
